Updates
NEW IN 2024 – Corporate Transparency Act – Beneficial Ownership Information Reporting
Starting January 1, 2024 the Corporate Transparency Act (CTA) will require corporations and LLCs that do business in the United States to report beneficial ownership information (BOI) to the Financial Crimes Enforcement Network (FinCEN). Public companies whose shares are registered with the Securities Exchange Act are exempt from this reporting requirement. There are additional exceptions as well. These BOI reports will require companies to report any owners that control at least 25% of the business. The information included on the report is the owner’s name, address, birthdate and an acceptable identification document.
If your company was created and registered with the state before January 1, 2024, you will file by January 1, 2025. Companies created after January 1, 2024 have 90 days from registering with their secretary of state to file the report. The report will be able to be filed electronically on the FinCEN website. The purpose of this new filing requirement is to detect, prevent, and punish terrorism, money laundering and other misconduct by business entities.
